CONFIDENTIALITY AND PROPRIETARY INFORMATION AGREEMENT

The Employee understands that, by virtue of his or her employment with Leo Hamel Fine Jewelers (“the Company”), the Employee will acquire and be exposed to proprietary and other confidential information of the Company.

For this purpose, the term “proprietary information” includes all contact information including names, addresses, phone numbers, and purchases history, that is not generally known to the public and that relate, in any manner, to the business of the Company, its personnel (including its shareholders, partners, principals, employees, representatives, and contractors), and its customers and all others with whom it does business that the Employee learns or acquires during his or her employment with the Company. The term “proprietary information” further includes, but is not limited to, policies, procedures, manuals, documents, computer programs, source code, compilations or technical, financial, legal or other data, lists of customers or prospective customers, names of suppliers, specifications, designs, or business information. Proprietary information does not include information that is generally known and used within the Company’s industry.

The Employee agrees to hold in trust and in confidence all proprietary information during and after the period of the Employee’s employment with the Company. The Employee shall not disclose any proprietary information to anyone outside of the Company without the prior written approval of an authorized officer of the Company and may not use any proprietary information for any purpose other than for the clear and specific benefit of the Company, as required by the Employee’s duties for the Company.

Upon termination of the Employee’s employment with the Company, the Employee:

  1. shall not retain or take any proprietary information in any form, tangible or otherwise, including customer contact information,
  2. shall not use or disclose proprietary information for any purpose, including attempting to contact our customers, and
  3. shall immediately deliver to the Company any proprietary information in a tangible form that the employee may then or thereafter hold or control, as well as all other property, equipment, documents or things that the employee was issued or otherwise received or obtained during his or her employment.

The term “tangible form” includes ideas, information or materials in a written or graphic form, on a computer disk, or otherwise stored in or available through an electronic, a magnetic, or any other form or medium.

The Employee agrees to not contact any customer that they met while working for the Company after leaving employment here for the purpose of soliciting their business for any competitor. Customers whom the employee knew before they came to work at the Company are not prohibited from future contact.

I acknowledge that I have read this Confidentiality and Proprietary Information Agreement, fully understand it, and voluntarily agree to all of its provisions.
